TERMS OF SERVICE

Terms of Service

1. Agreement and scope

These Terms of Service govern access to the Inboundsify website, buyer accounts, agency accounts, and inbound call aggregation and routing services, collectively the “Services.” “Inboundsify,” “we,” “us,” and “our” mean the operator identified above. “You” means the individual or business accepting these Terms.

By affirmatively accepting these Terms during registration or ordering, you agree to them. If you act for an agency or other organization, you represent that you have authority to bind that organization. Paid Services require acceptance of these Terms before activation. You must be at least 18 years old and use the Services for lawful business purposes.

These Terms apply to call buyers and agencies. Publishers and affiliates supplying calls must enter into a separate publisher agreement before submitting traffic.

A written agreement signed by both parties controls over conflicting provisions of these Terms. Campaign specifications and order terms accepted before purchase control over these Terms only for the pricing, billing criteria, delivery requirements, and other matters they expressly address. Our Privacy Policy at [PRIVACY POLICY URL] explains our information practices; it does not itself authorize consumer marketing or recording.

2. Our services and role

Inboundsify aggregates and routes customer-initiated inbound telephone calls to participating agents, agencies, and other approved buyers. Calls may originate through advertising operated by Inboundsify or independent publishers and other suppliers. Available features may include call tracking, campaign controls, account balances, agency allocation tools, reporting, and access to call recordings or transcripts.

Under this agreement, Inboundsify provides call acquisition and routing services. It does not undertake insurance underwriting, policy issuance, or insurance sales on your behalf. Insurance applications, advice, recommendations, disclosures, suitability determinations, and transactions are the responsibility of the appropriately authorized insurance professionals and carriers involved.

Nothing in these Terms establishes that Inboundsify is exempt from laws applicable to its own activities. Each party remains responsible for its own conduct and legal obligations.

3. Accounts and agency responsibilities

You must provide accurate registration, billing, routing, and licensing information and keep it current. Protect account credentials, restrict access to authorized users, and promptly report suspected unauthorized access.

An agency owner is responsible for managing authorized team members, their routing settings, and their access to balances and call data. The agency must ensure that personnel receiving insurance calls hold the licenses and appointments required for their activities and the relevant jurisdictions.

Agency allocations and transfers are internal accounting entries governed by the applicable account settings. They do not establish separate bank accounts, separate custody arrangements, or personal ownership rights in agency funds. The accepted agency order must identify who controls allocations and whether an agent has any separate payment obligation before those features are activated.

4. Campaign specifications and delivery

Before activation, the applicable campaign or order will identify the call price or pricing method, billable-call criteria, buffer duration and timing method, approved geography, operating hours and time zone, concurrency limits, applicable caps, and any exclusivity or duplicate-call rules.

You are responsible for configuring accurate receiving numbers, maintaining sufficient funds, selecting appropriate states, and making authorized staff available during your selected hours. Calls may be paused or routed elsewhere when your account is unavailable, reaches a limit, or lacks sufficient available funds.

Call volume and delivery timing depend on available traffic, caller behavior, supplier availability, and routing capacity. Unless a written order expressly promises a minimum, we do not guarantee a particular quantity or schedule of calls.

5. Billable calls and qualification

A call is billable when it satisfies the criteria in the campaign specifications you accepted. A duration buffer is a billing threshold. It does not establish that a caller is insurable, financially qualified, ready to purchase, or guaranteed to complete an application.

The standard billing buffer is ninety (90) seconds. The timer begins when a live agent for the Buyer answers and connects to the caller, not when the Buyer's automated phone system first answers. Ringing and IVR time before a live agent answers do not count.

Once a live agent answers, all elapsed connected time counts toward the buffer, including conversation, silence, hold time, and time spent in the Buyer's subsequent internal transfer or automated system. The timer does not pause merely because the agent is not speaking. A call that reaches ninety (90) seconds is billable if it also meets the other agreed campaign criteria. To remain below the duration threshold, the call must actually disconnect before ninety (90) seconds; disconnecting at or after ninety (90) seconds does not prevent billing. Moving a caller to hold or transferring the caller does not stop the timer while the original routed call remains connected.

The call must also satisfy the agreed campaign criteria and must not be a duplicate under Section 8. TrackDrive is the official System of Record as described in Section 8. Calls that do not meet the agreed billing criteria will not be charged, or an erroneous charge will be reversed following review.

You may not artificially prolong calls to manipulate qualification, falsify call outcomes, or deliberately disconnect and recontact callers to evade agreed charges.

6. Prices and prepaid balances

Prices and fees are disclosed before purchase. Amounts are in U.S. dollars unless otherwise stated. You are responsible for applicable taxes, excluding taxes on our net income.

Prepaid funds may be used for authorized call charges and other expressly disclosed fees. If the service reserves funds while a call is being connected or evaluated, those funds are temporarily unavailable. The reservation is applied to a valid charge or released when no charge is due, according to the disclosed routing and billing process.

A prepaid balance is a service credit, not a bank deposit or investment. It earns no interest. There is no cash transfer or redemption right except under the unused-balance policy below or applicable law.

Price changes apply prospectively after notice and acceptance of the updated campaign or order terms. We will not retroactively change the price of calls already delivered.

Account credits only: Prepaid funds and approved call adjustments are account credits for future eligible Services. They are not refundable in cash or to the original payment method, except where applicable law requires otherwise. Unused funds remain account credits rather than becoming a cash refund upon subscription cancellation or account closure. [DEFINE HOW REMAINING CREDITS MAY BE USED OR REACTIVATED AFTER ACCOUNT CLOSURE AND STATE ANY EXPIRATION RULE BEFORE ENROLLMENT. PROMOTIONAL CREDITS MUST BE IDENTIFIED SEPARATELY WITH THEIR APPLICABLE CONDITIONS.]

7. Subscriptions and optional automatic funding

If you select a subscription, its price, billing interval, initial term, renewal terms, and any setup fee will be disclosed before you accept the order. Recurring payment authorization will be obtained separately and clearly during enrollment.

A subscription renews at the disclosed interval until canceled by emailing support@inboundsify.com or through any available account cancellation control. Cancellation stops future renewals when received before the next renewal is processed. The order must disclose when access ends and whether partial-period refunds are available before subscription enrollment. Cancellation does not erase valid charges incurred before cancellation or automatically determine how unused prepaid funds are handled.

Automatic top-up is optional and requires your affirmative authorization. If enabled, your selected payment method is charged using the threshold and funding amount you approved. You may disable it through any available account control or by emailing support@inboundsify.com. Disabling top-up does not by itself cancel a subscription, and canceling a subscription does not by itself disable top-up unless the cancellation workflow expressly does both.

8. System of Record and billing disputes

a. System of Record

Inboundsify and the Buyer agree that Inboundsify's call tracking and routing platform, TrackDrive, is the official System of Record (“SOR”) for the Services. Billing, invoicing, call counts, connection timestamps, routing geography, recorded qualification fields, and billable duration will be calculated from TrackDrive's records using the campaign criteria agreed before delivery.

Buyer logs, third-party tracking reports, and alternative carrier reports do not independently replace or override the TrackDrive SOR. They may be submitted to identify a specific suspected error for investigation. Inboundsify may correct a verified SOR error; designation of TrackDrive as the SOR does not make known errors billable or eliminate rights that cannot lawfully be waived. Recorded location and qualification fields reflect the routing method and information available at the time; they do not by themselves guarantee the accuracy of consumer statements or independently verify residence or demographics.

b. No Refusals

The Services are offered on a “No Refusals” basis for calls satisfying the agreed billing criteria. A call that passes Inboundsify's applicable IVR qualification, satisfies the agreed geographic and other express campaign requirements, is not a duplicate under subsection c, and reaches ninety (90) seconds measured under Section 5 is fully billable.

The Buyer may not reject such a call or demand a refund or credit because the consumer declined to purchase, was not ready to buy, did not complete an application, failed underwriting, already had coverage, changed their mind, or produced no commission, unless that circumstance itself breaches an expressly agreed campaign qualification. Agent performance, call-center handling, policy cancellation, and insurance chargebacks do not invalidate an otherwise compliant call.

“No Refusals” does not prevent a timely dispute documenting a technical error, a duplicate, or a breach of an express campaign qualification. It does not excuse Inboundsify from correcting verified erroneous charges.

c. Duplicate calls

A Duplicate Call is a call from the same consumer to the exact same Buyer routing tree within the preceding thirty (30) days. A repeat call meeting that definition is not billable, even if it reaches the duration threshold. Buyers do not pay for the same consumer twice within that window for that routing tree.

TrackDrive caller identifiers and routing records are used to detect duplicates. The Buyer must identify the earlier call and routing tree when requesting duplicate review. Where caller identity is disputed, supporting recordings and other relevant evidence may be reviewed. A different consumer using a shared number is not automatically the same consumer.

The campaign order must identify the Buyer routing tree, including which agents or receiving numbers belong to it. The thirty-day lookback is measured from the new call's timestamp against the earlier call's timestamp. Tracking configuration must match this rule.

d. Dispute submission and evidence

Any dispute regarding call quality, qualification, or billable status must be submitted in writing to support@inboundsify.com within seven (7) calendar days of the call date as shown in TrackDrive. The request is due by 11:59 p.m. on the seventh calendar day after that date, using the reporting time zone disclosed in the campaign order.

The request must identify the call ID, call date, specific technical or qualification breach, and reason logs or other supporting details. For duplicate disputes, include the earlier call ID and routing tree. Requests based only on dissatisfaction with a sales outcome are ineligible.

The Buyer must supply or identify the full, unedited call recording supporting the request. When the recording is already available through Inboundsify's platform, the Buyer may identify that recording rather than upload a second copy. The recording requirement does not prevent investigation of a failure that itself prevented a recording from being created, or of a duplicate or technical error established by the SOR.

Late, unsupported, or incomplete requests may be denied to the extent permitted by law. We may request additional evidence and will review timely requests in good faith. The campaign order will disclose the review response target. If further investigation is needed, we will provide a status update.

e. Review and determination

Inboundsify retains sole contractual authority to approve or deny refund or credit requests, exercising reasonable judgment in good faith under the agreed campaign criteria, TrackDrive SOR, and relevant evidence. If the SOR establishes that a call successfully connected, passed the express routing and qualification requirements, was not a duplicate, and reached the agreed billable duration, it remains fully billable regardless of subsequent sales disposition or agent handling.

A verified duplicate, technical billing error, or breach of an express qualification requirement will result in reversal of the erroneous charge. Discretion over goodwill adjustments does not permit retention of a charge established to be contrary to these Terms.

Approved adjustments are issued only as account credits usable for future eligible Services, not cash refunds or refunds to the original payment method, except where applicable law requires otherwise. The Buyer may request reconsideration by providing additional relevant evidence. These provisions govern the parties' contractual billing administration; they do not bar court review or waive rights or remedies that cannot lawfully be waived.

9. Exclusivity and no sales guarantees

Each delivered live call is exclusive to the receiving Buyer for that call event. Inboundsify will not simultaneously deliver or sell that same live call to multiple Buyers. Consumer contact information and recordings associated with that purchased call are not separately offered by Inboundsify to other Buyers for marketing.

Exclusivity applies to the individual call, not to the consumer for a future period. If the consumer independently initiates a new call, Inboundsify may route and sell that new call to a different Buyer, including within thirty (30) days of the earlier call. Receiving a call does not grant ownership of the consumer or priority over their future calls.

The thirty-day duplicate rule in Section 8 protects only the exact same Buyer routing tree against repeat charges. A new consumer-initiated call delivered to a different Buyer routing tree may be billable under that Buyer's campaign criteria. Inboundsify may not merely relabel the same Buyer routing tree to circumvent duplicate protection. Exclusivity does not establish that the consumer has never contacted another provider or prevent the consumer from independently contacting another provider. Inboundsify must obtain supplier commitments appropriate to the exclusivity it promises.

We do not guarantee sales, issued policies, commissions, profitability, conversion rates, policy persistency, or freedom from insurance chargebacks. Examples and performance figures do not promise your results.

10. Lawful use and insurance responsibilities

You must comply with laws applicable to your activities, including insurance licensing and sales requirements, consumer protection laws, privacy and security requirements, call-recording laws, and applicable telephone marketing and do-not-call rules.

An inbound call or access to a caller's number does not by itself grant blanket permission for future marketing calls, automated calls, prerecorded messages, or texts. Before follow-up communications, you must establish the legally required permission or other lawful basis, honor opt-outs, and maintain required evidence and suppression records.

You may not misrepresent your identity or affiliation, imply government endorsement, make unsupported insurance promises, engage in harassment, use deceptive marketing, spoof caller identity, submit fabricated calls, or use the Services for unlawful activity.

You may not resell calls, redistribute caller information, or route calls to another business unless your written campaign or buyer agreement expressly authorizes it and the use complies with applicable disclosures, permissions, and law.

11. Call information and privacy

Inboundsify's service centers on telephone calls rather than collecting insurance applications through the platform. However, providing the Services involves processing information. Depending on the enabled features, Inboundsify and its service providers may process caller telephone numbers, timestamps, routing information, source identifiers, duration, billing outcomes, recordings, transcripts, and information voluntarily spoken during calls. We also process buyer account, support, and payment-related information as described in our Privacy Policy.

Call information may be made available to the receiving buyer and authorized agency personnel as needed to provide the Services. Further processing and disclosure are described in the Privacy Policy and any applicable data-processing agreement.

Access does not give you unrestricted ownership of a consumer's personal information. Use it only for the permitted business purpose and within applicable law. Protect it against unauthorized access, limit access to personnel who need it, and cooperate with lawful consumer privacy requests.

Do not enter insurance applications, Social Security numbers, full payment-card details, or other unnecessary sensitive information into platform notes or support requests. Use approved carrier systems for applications. If your calls require sensitive information, use an approved recording-pause or redaction process where available and legally appropriate.

12. Recordings transcripts and retention

Calls may be monitored, recorded, or transcribed only where the required notices and permissions have been provided or another lawful basis applies. Your acceptance of these buyer Terms is not consumer consent to recording.

Inboundsify's IVR provides the recording announcement before connecting the caller to the Buyer. Inboundsify is responsible for its announcement, recording workflow, and legally required permissions for recording and processing it controls. An announcement must not be treated as proof of consent unless the actual workflow meets applicable requirements.

You are responsible for recording, transcription, disclosures, and additional processing you control, including any separate recording tools. Do not bypass required announcements or continue recording where doing so would violate applicable law.

Authorized personnel may review call records for routing, quality assurance, billing verification, disputes, fraud prevention, and compliance, consistent with the Privacy Policy. Recordings and transcripts must not be publicly posted, used in advertising, redistributed for training, or used to train general-purpose AI models without separate authorization and all legally required permissions.

Call recordings are retained for ninety (90) days from the call date under the standard retention schedule, subject to applicable legal retention requirements, preservation obligations, and a timely dispute requiring preservation. Relevant recordings and supporting records for an open dispute will be preserved until the dispute and any required preservation period have ended. Routine recording deletion does not mean that billing, security, consent, or other records are deleted on the same schedule; those records are addressed separately in the Privacy Policy.

Transcripts and automated analyses may contain errors and are not a substitute for verification. [CONFIRM WHETHER TRANSCRIPTS ALSO FOLLOW THE NINETY-DAY SCHEDULE AND HOW BACKUP COPIES ARE HANDLED.] Maintain your own legally required records securely; the dashboard is not promised as a permanent archive. Account closure may end access after the disclosed export period.

13. Platform rights and confidentiality

We and our licensors retain rights in the platform, software, branding, and documentation. We grant you a limited right to access the Services for the authorized business purpose during your account term. You may not bypass access controls, access another user's data, disrupt the Services, scrape restricted content, or reverse engineer software except as permitted by applicable law.

Each party will protect the other's nonpublic business information received through the relationship, using reasonable care and disclosing it only to authorized recipients with a business need or as legally required. Consumer data is also subject to Section 11. Information already lawfully public or independently developed is not confidential under this section.

14. Third-party services and availability

The Services rely on telecommunications carriers, routing platforms, payment processors, and other providers. Features, reporting, and delivery may be affected by outages, maintenance, carrier actions, or circumstances beyond our reasonable control.

No uptime commitment applies unless expressly included in a written agreement. This section does not authorize billing for undelivered or otherwise nonbillable calls. Separately connected third-party services may have their own terms and information practices.

15. Suspension and termination

You may request account closure by emailing support@inboundsify.com. We may suspend or terminate access for nonpayment, material breach, suspected fraud, unlawful activity, security threats, or legal or carrier requirements. When reasonably practical, we will explain the action and provide an opportunity to address a remediable issue. Immediate action may be necessary to protect callers or the service.

For termination unrelated to breach or an urgent legal or security issue, we will provide thirty (30) days' notice. Earned charges remain due. Unused balances are handled under Section 6, rather than automatically forfeited. You may request a lawful export of available account records before closure; routine retention periods still apply. Where an urgent suspension prevents dashboard access, contact support@inboundsify.com for permitted access to records needed for an outstanding dispute or legal obligation.

Provisions that by their nature continue after termination, including outstanding payments, confidentiality, permitted data use, liability, indemnification, and dispute resolution, survive termination.

16. Warranties and liability

TO THE EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED AS AVAILABLE. EXCEPT FOR EXPRESS COMMITMENTS IN THESE TERMS OR A SIGNED AGREEMENT, WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. THIS DOES NOT REMOVE ANY WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED.

TO THE EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE TO THE OTHER FOR INDIRECT OR CONSEQUENTIAL LOSSES, LOST PROFITS, OR LOST BUSINESS OPPORTUNITIES ARISING FROM THESE TERMS.

INBOUNDSIFY'S TOTAL LIABILITY ARISING FROM THE SERVICES WILL NOT EXCEED [COUNSEL-REVIEWED CAP, SUCH AS SERVICE FEES ACTUALLY CHARGED DURING THE PRECEDING THREE MONTHS, WITH AN AGREED MINIMUM]. UNAPPLIED PREPAID FUNDS ARE NOT SERVICE FEES FOR THIS PURPOSE. THIS CAP DOES NOT LIMIT OUR OBLIGATION TO RETURN FUNDS OR REVERSE ERRONEOUS CHARGES UNDER THESE TERMS, LIABILITY FOR FRAUD OR WILLFUL MISCONDUCT, OR LIABILITY THAT CANNOT LEGALLY BE LIMITED. [COUNSEL TO REVIEW ADDITIONAL EXCEPTIONS, INCLUDING DATA SECURITY AND CONFIDENTIALITY.]

17. Third-party claims

To the extent permitted by law, you will defend and indemnify Inboundsify against third-party claims and reasonable resulting costs caused by your unlawful insurance sales or marketing conduct, unauthorized use or disclosure of caller information, or material breach of these Terms. This obligation does not apply to the extent a claim results from Inboundsify's own breach, negligence, or unlawful conduct.

We will promptly notify you of a covered claim, reasonably cooperate, and permit an appropriate defense. No settlement may admit fault by or impose a nonmonetary obligation on Inboundsify without its consent. [COUNSEL TO REVIEW WHETHER TO INCLUDE RECIPROCAL PROTECTION FOR CLAIMS CAUSED BY INBOUNDSIFY.]

18. Governing law and disputes

These Terms are governed by the laws of the State of Nevada, excluding conflict-of-law rules and without overriding mandatory applicable law.

Before filing a nonurgent claim, the parties will attempt in good faith to resolve it through written notice describing the issue and requested remedy, allowing 30 days for discussion. This does not prevent urgent court relief or require missing a filing deadline.

Subject to applicable law, disputes will be brought in the state or federal courts with jurisdiction in Clark County, Nevada. The parties consent to those courts' jurisdiction. These Terms do not impose mandatory arbitration or a class-action waiver.

19. Changes and general provisions

We may update these Terms prospectively. Material changes will be provided through account notice or email at least thirty (30) days before taking effect, except when faster action is necessary for legal or security reasons. We will obtain renewed acceptance where required. Changes will not retroactively alter accrued charges or pending disputes. If you decline a change, you may close your account under the existing cancellation and balance rules.

These Terms and the accepted documents identified in Section 1 form the agreement for the Services. If a provision is unenforceable, the remaining provisions continue to the extent lawful. Failure to enforce a provision is not a waiver. Neither party may assign this agreement except with consent or to a successor in a business transfer that assumes the agreement, subject to applicable law. The relationship does not create employment, a partnership, or authority to bind the other party.
